Article 1: Definitions

  1. NOVANL: located at Hercules 6, 5126 RK, Gilze, registered with the Chamber of Commerce under number 92740413.
  2. Customer: the natural person or legal entity who enters into an agreement with NOVANL.
  3. Products: all goods offered by NOVANL on its website.
  4. Agreement: any agreement or contract between NOVANL and the Customer, of which these General Terms and Conditions form an integral part.


Article 2: Applicability

  1. These General Terms and Conditions apply to all offers, orders, and agreements of NOVANL.
  2. Placing an order with NOVANL implies that the Customer accepts the applicability of these General Terms and Conditions.
  3. Deviations from these Conditions can only be made in writing with the approval of NOVANL, in which case the remaining provisions shall remain in full force.


Article 3: Offers and Agreements

  1. All offers from NOVANL are non-binding, and NOVANL expressly reserves the right to change prices.
  2. An agreement is only concluded after acceptance of the order by NOVANL. NOVANL is entitled to refuse orders or to attach special conditions to the delivery.


Article 4: Prices and Payments

  1. The prices listed for the products and services offered are in euros, including VAT and excluding handling and shipping costs, any taxes, or other levies.
  2. Payment must be made without discount or compensation within fourteen (14) days after the invoice date, unless otherwise agreed in writing.


Article 5: Delivery

  1. NOVANL will exercise the utmost care in receiving and executing orders for products.
  2. The delivery location is the address made known to the company by the Customer.


Article 6: Retention of Title

  1. All products delivered to the Customer remain the property of NOVANL until all amounts due by the Customer for the products delivered or to be delivered under the agreement have been fully paid.


Article 7: Complaints and Liability

  1. The Customer is obliged to inspect the delivered products immediately upon receipt. Any defects must be reported to NOVANL in writing and motivated within a week.
  2. If it is demonstrated that the products do not comply with the agreement, NOVANL has the option to replace the relevant products upon their return or to refund the invoice value thereof.


Article 8: Force Majeure

  1. NOVANL is not obliged to fulfill any obligation towards the Customer if it is prevented from doing so due to circumstances that are not attributable to its fault, and that are not considered its responsibility by law, a legal action or generally accepted practices.


Article 9: Privacy

  1. The personal data entered by the Customer will be used by NOVANL for executing the agreement and will never be provided to third parties unless this is necessary for the execution of the agreement.

Article 10: Applicable Law and Competent Court

All rights, obligations, offers, orders, and agreements to which these Conditions apply, as well as these Conditions themselves, are exclusively governed by Dutch law. All disputes between parties will be submitted to the competent court in the Netherlands.
